Acceptance of Terms

Welcome to DocSearch Health Solutions LLC ("DocSearch," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of our website located at docsearch.com, including all associated mobile applications, services, features, and content (collectively, the "Platform").

By accessing, browsing, registering for, or using the Platform in any way, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Your continued use of the Platform following the posting of any changes to these Terms constitutes your acceptance of those changes.

Description of Services

DocSearch Health Solutions LLC operates a dual-purpose healthcare platform offering two distinct categories of services:

3.1 Telehealth Treatment Programs. DocSearch facilitates access to physician-supervised treatment programs in partnership with TelegraMD (telegramd.com) through its telehealth partner TelegraMD for certain medical conditions, including but not limited to weight management (GLP-1 therapies), erectile dysfunction, testosterone replacement therapy, and hormone therapy. These services connect patients with independent licensed physicians who evaluate, diagnose, and treat patients at their sole discretion.

3.2 Physician Search Directory. DocSearch provides a free, publicly accessible search tool that allows users to locate licensed physicians and healthcare providers by specialty, location, and other criteria. The Physician Search is an informational directory only and does not constitute a recommendation, referral, or endorsement of any individual provider.

All clinical decisions are made exclusively by independent licensed physicians. The physicians and providers accessible through our platform are not employees or agents of DocSearch.

3.3 Geographic Availability. Not all services are available in all states. Availability of Treatment Programs is subject to applicable state telehealth laws and regulations. DocSearch makes no representation that any specific service will be available in your jurisdiction at any given time.

3.4 Service Changes. We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of services.

Eligibility

To use the Platform, you must meet the following requirements:

  • You must be at least 18 years of age. The Platform is not intended for use by minors.
  • You must be a resident of the United States.
  • You must have the legal capacity to enter into a binding agreement.
  • You must not be prohibited from receiving our services under applicable federal, state, or local law.
  • Your account must not have been previously suspended or terminated by DocSearch for violations of these Terms.

By using the Platform, you represent and warrant that you meet all of the foregoing eligibility requirements. If you do not meet these requirements, you must not access or use the Platform.

Access to Telehealth Treatment Programs may be subject to additional eligibility requirements as determined by the treating physician, including but not limited to medical history, current medications, contraindications, and state of residence.

User Accounts

5.1 Account Registration. Certain features of the Platform require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated at all times.

5.2 Account Security. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at info@docsearch.com if you suspect any unauthorized use of your account or any security breach.

5.3 One Account per User. You may not create more than one account or create an account on behalf of another person without their express authorization. Creating duplicate accounts to circumvent a suspension or ban is prohibited and may result in permanent termination.

5.4 Accurate Health Information. When completing health intake forms or questionnaires, you agree to provide truthful, complete, and accurate information. Providing false or misleading health information may result in inappropriate medical treatment and poses serious risks to your health. DocSearch and its affiliated Providers are not liable for adverse outcomes resulting from inaccurate information provided by users.

5.5 Account Termination by User. You may close your account at any time by contacting us at info@docsearch.com . Closing your account does not affect any outstanding payment obligations or the retention of records required by applicable law.

Medical Disclaimer

6.1 No Doctor-Patient Relationship with DocSearch. The information provided on this Platform, including all health-related content, articles, blog posts, and general descriptions of treatments, is for informational purposes only. DocSearch does not provide medical advice, diagnoses, or treatment recommendations. No doctor-patient relationship is formed between you and DocSearch.

6.2 Independent Physicians. A doctor-patient relationship may be formed between you and a licensed Provider who evaluates you through the Platform. This relationship is strictly between you and that Provider. The Provider's clinical decisions, prescriptions, and recommendations are made independently and are not directed, reviewed, or approved by DocSearch.

6.3 No Guarantee of Treatment. Completing a health intake questionnaire does not guarantee that you will receive a prescription or be approved for any Treatment Program. Prescribing decisions are made at the sole discretion of the treating physician based on clinical judgment and applicable medical and legal standards.

6.4 Medication Risks. All medications, including FDA-approved medications and compounded medications, carry risks and potential side effects. You should consult your treating physician about all risks, benefits, contraindications, and alternatives before beginning any treatment.

6.5 Compounded Medications. Some Treatment Programs may utilize compounded medications prepared by licensed compounding pharmacies. Compounded medications are not FDA-approved finished drug products. They may contain the same active ingredients as FDA-approved medications but are not subject to the same FDA review for safety, efficacy, and quality. Your physician will inform you if a compounded medication is recommended.

Telehealth Services

7.1 Consent to Telehealth. By accessing Telehealth Services, you consent to the delivery of healthcare services via electronic means, including through the TelegraMD platform, including through secure online questionnaires, messaging, and video consultations where applicable. You understand that telehealth has both benefits and limitations compared to in-person care.

7.2 State Regulations. Telehealth is subject to varying laws by state. Providers on the Platform are licensed in the states where they practice. You are responsible for ensuring that you are located in a state where the requested service is legally available at the time of your consultation.

7.3 Prescription Services. Where applicable, licensed Providers on the TelegraMD platform may issue prescriptions pursuant to a valid physician-patient relationship established through the telehealth encounter. Prescriptions are issued at the sole discretion of the Provider and are subject to applicable federal and state laws, including the Ryan Haight Online Pharmacy Consumer Protection Act where applicable.

7.4 Follow-Up Care. Telehealth services on this Platform do not replace your primary care physician or ongoing medical care. You are encouraged to share treatment information with your primary healthcare provider and to seek appropriate in-person care when clinically indicated.

7.5 Technical Requirements. You are responsible for obtaining and maintaining the technical equipment and internet connection necessary to access Telehealth Services. DocSearch is not liable for service interruptions caused by your equipment, internet service, or third-party technology providers.

Payments & Billing

9.1 Pricing. The pricing for Treatment Programs is displayed on the Platform and may change from time to time. Any price changes will be communicated to active subscribers in advance. By initiating a treatment program, you authorize DocSearch to charge the applicable fees.

9.2 Subscription Programs. Many Treatment Programs are offered on a recurring subscription basis. Your subscription will automatically renew at the end of each billing period unless you cancel prior to the renewal date. You authorize DocSearch to charge your payment method on file for each renewal period.

9.3 Payment Methods. We accept major credit and debit cards and other payment methods as indicated on the Platform. You represent that you are authorized to use any payment method you provide. All payments are processed by third-party payment processors and are subject to their terms and privacy policies.

9.4 No Insurance Billing. DocSearch does not bill health insurance for any services. All Treatment Program fees are self-pay. Depending on your insurance plan, you may be able to seek reimbursement from your insurer independently; however, DocSearch does not provide insurance claims support or guarantees of reimbursement.

9.5 Refund Policy. Fees paid for completed physician consultations are generally non-refundable. For subscription programs, you may cancel at any time; however, we do not issue prorated refunds for unused portions of a billing period already charged, unless required by applicable law. Medication costs are non-refundable once dispensed by the pharmacy, except where required by law. Refund requests should be submitted to info@docsearch.com .

9.6 Cancellation. You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. Cancellation does not entitle you to a refund of any fees already charged.

9.7 Failed Payments. If a payment fails, DocSearch may retry the charge, suspend your access to Treatment Program services, or both. You are responsible for maintaining a valid payment method on file.

Privacy & HIPAA

Your Privacy Matters DocSearch is fully HIPAA-compliant. All protected health information is encrypted, stored securely, and handled in accordance with applicable federal and state privacy laws.

10.1 Privacy Policy. Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes how we collect, use, store, and disclose your personal information and protected health information.

10.2 HIPAA Compliance. To the extent that DocSearch functions as a Business Associate or Covered Entity under the Health Insurance Portability and Accountability Act of 1996 ("HIPAA"), we comply with the applicable requirements of HIPAA and its implementing regulations, including the HIPAA Privacy Rule and Security Rule.

10.3 No Sale of Health Data. DocSearch does not sell your protected health information or identifiable health data to third parties for marketing or advertising purposes. We do not permit advertisers to pay to influence clinical content or treatment recommendations on the Platform.

10.4 Data Security. We implement reasonable administrative, technical, and physical safeguards to protect your information. However, no method of transmission over the internet or method of electronic storage is completely secure, and we cannot guarantee absolute security.

10.5 Authorization for Treatment-Related Communications. By enrolling in a Treatment Program, you authorize DocSearch and affiliated Providers to communicate with you via email, text message, or phone regarding your treatment, prescription status, refills, and related clinical matters, subject to your communication preferences set in your account.

Acceptable Use

You agree to use the Platform only for lawful purposes and in a manner consistent with these Terms. The following conduct is strictly prohibited:

  • Providing false, misleading, or inaccurate information in any health intake form, questionnaire, or communication with a Provider
  • Attempting to obtain controlled substances or prescriptions through fraudulent means
  • Accessing or attempting to access accounts, systems, or data of other users without authorization
  • Using automated tools, bots, scrapers, or crawlers to access the Platform or harvest data
  • Interfering with or disrupting the Platform's infrastructure, servers, or network connections
  • Uploading or transmitting viruses, malware, or any other malicious code
  • Using the Platform for any commercial purpose without our prior written consent
  • Harassing, threatening, or abusing any Provider, DocSearch employee, or other user
  • Posting or transmitting any content that is defamatory, obscene, or violates any third party's rights
  • Attempting to circumvent any security features, access controls, or usage restrictions
  • Using the Platform in violation of any applicable federal, state, or local law or regulation
  • Reselling, sublicensing, or otherwise commercializing access to the Platform or its content

Violation of these prohibited conduct standards may result in immediate suspension or termination of your account, referral to law enforcement, and civil liability.

Intellectual Property

12.1 DocSearch Content. The Platform and all of its content, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the property of DocSearch Health Solutions LLC or its content suppliers and are protected by United States and international copyright, trademark, patent, and other intellectual property laws.

12.2 Limited License. Subject to your compliance with these Terms, DocSearch grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial healthcare purposes. This license does not include the right to reproduce, distribute, publicly display, create derivative works from, or otherwise exploit any content on the Platform.

12.3 Trademarks. "DocSearch," the DocSearch logo, and all related names, logos, product and service names, designs, and slogans are trademarks of DocSearch Health Solutions LLC. You may not use these marks without our prior written permission. All other names, logos, and marks are the property of their respective owners.

12.4 User-Submitted Content. By submitting any content to the Platform, including reviews, feedback, or other information, you grant DocSearch a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, publish, and distribute such content in any medium. You represent that you have all rights necessary to grant this license.

12.5 Feedback. Any suggestions, ideas, or other feedback you provide to DocSearch regarding the Platform may be used by us without any obligation to compensate you, and you hereby assign to us all rights in such feedback.

Limitation of Liability

13.1 Disclaimer of Warranties. THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, DOCSEARCH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

13.2 No Warranty of Medical Outcomes. DOCSEARCH DOES NOT WARRANT THAT ANY TREATMENT PROGRAM WILL ACHIEVE PARTICULAR MEDICAL RESULTS, THAT ANY MEDICATION WILL BE EFFECTIVE FOR YOUR CONDITION, OR THAT THE SERVICES PROVIDED BY INDEPENDENT PHYSICIANS THROUGH THE PLATFORM WILL MEET YOUR EXPECTATIONS OR MEDICAL NEEDS.

13.3 Limitation of Damages. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DOCSEARCH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, EVEN IF DOCSEARCH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.4 Cap on Liability. IN NO EVENT SHALL DOCSEARCH'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO DOCSEARCH IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00).

13.5 Essential Basis. The limitations of liability in this section reflect a reasonable allocation of risk between you and DocSearch and are an essential element of the basis of the bargain between us. DocSearch would not be able to provide the Platform on an economically feasible basis without these limitations.

13.6 Applicable Law. Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain damages. Accordingly, some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless DocSearch Health Solutions LLC and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Platform, including any services obtained through the Platform
  • Your violation of any applicable law, rule, or regulation
  • Your provision of false, inaccurate, or misleading health information
  • Your infringement of any intellectual property or other rights of any third party
  • Any content you submit, post, or transmit through the Platform

DocSearch reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with DocSearch's defense of such claim.

Dispute Resolution

15.1 Informal Resolution. Before initiating any formal legal proceeding, you agree to first contact DocSearch at info@docsearch.com and describe your dispute in writing. We will make a good-faith effort to resolve the dispute informally within 30 days of receiving your notice.

15.2 Binding Arbitration. If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform that cannot be resolved through informal negotiation shall be submitted to binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as amended by these Terms. The arbitration shall be conducted in Orange County, Florida, unless you and DocSearch agree otherwise.

15.3 Class Action Waiver. YOU AND DOCSEARCH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and DocSearch agree otherwise, the arbitrator may not consolidate more than one person's claims.

15.4 Exceptions. Notwithstanding the agreement to arbitrate, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or privacy.

15.5 Time Limitation. ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES OR IT IS PERMANENTLY BARRED.

Termination

16.1 Termination by DocSearch. DocSearch reserves the right to suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, non-payment, or if we determine that your continued use poses a risk to other users, Providers, or the integrity of the Platform.

16.2 Effect of Termination. Upon termination of your account: (a) your right to use the Platform immediately ceases; (b) any outstanding fees become immediately due and payable; (c) we may delete your account data subject to our data retention obligations under applicable law; and (d) any provisions of these Terms that by their nature should survive termination shall survive.

16.3 Survival. The following sections shall survive termination of these Terms: Definitions, Medical Disclaimer, Payments & Billing (with respect to outstanding amounts), Intellectual Property, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law.

Changes to Terms

DocSearch reserves the right to modify these Terms at any time at our sole discretion. When we make material changes, we will:

  • Update the "Last Updated" date at the top of these Terms
  • Post a notice on the Platform
  • Send an email notification to registered account holders where practicable

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform and, if applicable, cancel your account.

We encourage you to review these Terms periodically. For active Treatment Program subscribers, material changes to terms directly affecting your subscription will be communicated at least 14 days before taking effect.

Governing Law

These Terms and any dispute arising out of or related to the Platform shall be governed by and construed in accordance with the laws of the State of Florida, without giving effect to any principles of conflicts of law. To the extent that any action is brought in a court of law notwithstanding the arbitration agreement, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Orange County, Florida.

The Platform is controlled and operated from the United States. DocSearch makes no representation that the Platform is appropriate or available for use in other locations. Those who access the Platform from other jurisdictions do so at their own initiative and are responsible for compliance with applicable local laws.
